Chapter 3

"Look at this place, Chloe," Julian's voice buzzed through the iPad speaker. "In three days, every square inch belongs to us."

I watched the grainy security footage from the comfort of my home office. Nora had bypassed the Mercer Tech firewall an hour ago, giving me full access to the penthouse cameras.

Chloe leaned against his mahogany desk, tracing the rim of a champagne flute. "You really think Vanguard will wire the funds by Friday?"

"The deal is locked," Julian bragged, kicking his feet up onto the glass coffee table. "I hand over the source code, they wire fifty million to JM Holdings, and Mercer Tech becomes an empty shell."

"What about Elara? Won't she notice the missing assets?"

"By the time she realizes the company is bankrupt, we'll be shopping for villas in Tuscany." He grabbed her hand, pulling her onto his lap. "No more sneaking around. No more playing the grateful boyfriend to a spoiled heiress."

I snapped the iPad cover shut. The sharp crack echoed in the quiet room.

My phone vibrated against the desk. Julian's name flashed across the screen.

I smoothed my expression, clearing my throat before answering. "Hey, honey."

"Elara, I'm heading home," Julian said, his tone dripping with manufactured affection. "Can we talk? I have a tiny favor to ask."

"Of course. I'm just finishing up some emails."

"Perfect. See you in ten."

He walked through the front door holding a sleek black folder. He dropped his briefcase by the entryway and walked straight to the kitchen island where I sat.

"Long day?" I asked, pouring him a glass of sparkling water.

"Exhausting." He slid the folder across the marble counter. "But this will make it all worth it."

I stared at the black cover. "What is this?"

"A supplementary equity bridge," Julian explained smoothly. He took a sip of the water, not breaking eye contact. "It's a standard financing requirement for the Series B."

I flipped the folder open. Pages of dense legal jargon stared back at me.

"Marcus didn't mention an equity bridge."

"Marcus is a dinosaur," Julian chuckled, waving a hand dismissively. "The new investors need a show of good faith. This just temporarily shifts your voting rights to my proxy. It proves to the board that we present a unified front."

"It says here my shares will be held in a blind trust," I pointed to the third paragraph, keeping my voice laced with mild confusion. "Julian, this essentially locks me out of all financial decisions."

"Only on paper, babe." He rounded the island and placed a hand on my shoulder. His fingers squeezed lightly. "It's just for the auditors. Once the capital clears on Friday, the clause dissolves."

I looked up at him, widening my eyes to play the naive partner he expected. "Are you sure? It feels risky. What if the investors back out?"

"They won't back out," he insisted, his jaw tightening for a fraction of a second. "I have it entirely under control. The financing is guaranteed."

"Who exactly is providing this much capital?" I pressed, tilting my head. "You've been so secretive about the lead firm."

Julian shifted his weight. "A private equity group out of New York. Very exclusive. They demand absolute discretion until the ink is dry."

"Right." I traced the edge of the contract. "I just worry about us, Julian. If I sign this, I'm putting my entire legacy in your hands."

"Don't you trust me?" He dropped his voice, playing the wounded lover. "Everything I do, I do for us, Elara. I want to build an empire for our future."

I forced a gentle smile, patting his hand. "I know you do. I'm just nervous. Let me read through it tonight. I'll sign it in the morning."

Frustration flashed in his eyes, quick and sharp, but he masked it with a nod. "Take your time. But we need it filed by tomorrow noon, or the deal stalls."

"I won't let us stall," I promised.

The moment the bedroom door clicked shut behind him, I pulled out my phone and dialed Nora.

"Did he give you the contract?" Nora asked immediately.

"Yes. A supplementary equity bridge. He wants my voting rights transferred to his proxy by tomorrow."

"Do not put your pen anywhere near that paper, Elara."

"I'm not an idiot, Nora. I told him I'd read it tonight." I walked toward the floor-to-ceiling windows, staring out at the city lights. "Did you find anything else in the ledgers?"

"I kept digging after you left," Nora said, her voice unusually tight. "You need to sit down."

"I'm fine standing. Tell me."

"Julian isn't just draining the operational budget. He's been taking out massive off-book loans through a shadow subsidiary."

"Loans? Using what as collateral?"

"You."

The word hit me like a physical blow. "Explain."

"He used your Social Security number and forged your signature on a series of personal guarantees," Nora revealed. "He tied your family trust to Mercer Tech's debt."

My fingers gripped the phone tightly. "How much debt?"

"Forty-five million dollars."

The room seemed to tilt. "He leveraged my personal trust?"

"If Vanguard buys the source code on Friday and Mercer Tech goes bankrupt, the corporate veil won't protect you," Nora explained, her words clipping together in urgency. "The creditors will come directly after your personal assets. You'll lose the company, your trust fund, your properties. Everything."

He didn't just want to leave me empty-handed. He wanted to ruin me entirely.

"He's using the off-book loans to inflate the company's valuation," I realized, the pieces snapping into a horrifying picture. "Vanguard thinks they're buying a highly profitable tech firm. Julian takes their fifty million, pays himself, and leaves me with forty-five million in fraudulent debt."

"Exactly. By Monday, he and Chloe will vanish, and you'll be facing federal bankruptcy and fraud investigations."

A cold, sharp clarity settled over my panic. The sadness was gone. The betrayal had burned away, leaving only pure, focused rage.

"Elara? Are you still there?"

"I'm here."

"We have to go to the authorities now," Nora urged. "We can't wait for Friday. If he catches wind that you're stalling on the contract, he might trigger the Vanguard transfer early."

"If we go to the police now, he claims ignorance," I argued. "He'll say I authorized the loans. He'll say the Vanguard deal was a legitimate pivot. With my forged signatures on everything, it will be tied up in court for years."

"Then what do we do?"

"We steal the source code first."

Silence stretched over the line.

"You want to hack your own company?" Nora asked.

"It's my algorithm. He removed my name from the patent, but the code still requires my original admin key to compile correctly. He just doesn't know it yet."

"Julian's terminal is air-gapped from the main network. You can't access it remotely."

"Then I'll do it in person." I turned away from the window, my eyes fixing on the closed bedroom door. "He's sleeping here tonight. His office is empty."

"Elara, Mercer Tech has biometric security after hours. You'd need his thumbprint to access the executive floor."

I walked over to the kitchen island, picking up the crystal water glass Julian had just used. His fingerprints coated the condensation on the side.

"I have his prints," I said softly. "Get the extraction drive ready, Nora. Tonight, I'm taking my company back."
